By using our services, you agree to our outlined terms regarding project scope, timelines, responsibilities, and all subsequent matters. we aim for clear communication, fair expectations from all sides, and a smooth service experience from start to finish
General terms of service
this agreement is entered into between the subsequent client and BlackRidge L.L.C., designed for all projects in order for a smooth, safe, confidential transaction and service. below are the clauses of this agreement:
Website Design & Development Agreement
This Agreement is entered into between:
Service Provider: BlackRidge L.L.C.
Client: [Client Name / Business Name]
Scope of Work
The Service Provider agrees to design and develop a website for the Client, which may include:
Website design (UI/UX)
Frontend and/or backend development
Mobile and tablet optimization
advanced and/or basic SEO setup
Integrations (forms, analytics, etc.)
Specific deliverables will be agreed upon prior to project start.
Timeline
The project is expected to be completed within 4–6 business weeks, depending on scope and responsiveness from the Client.
Delays caused by lack of communication, missing content, or requested changes may extend said timeline.
Payment Terms
A non-refundable deposit of 50% is required before work begins
The remaining 50% is due upon project completion, prior to final transfer or full delivery
Failure to complete final payment may result in:
Suspension of the website
Withholding of final files or ownership transfer
A full refund and project termination
Revisions
The Client is entitled to [2] rounds of revisions
Additional revisions may be billed at an agreed rate
Revisions do not include complete redesigns or changes to previously approved concepts.
Client Responsibilities
The Client agrees to:
Provide all required content (text, images, branding)
Respond to communication within a reasonable timeframe
Review and approve deliverables promptly
Failure to do so may delay the project.
Ownership & Licensing
Upon final full payment, the Client receives full ownership of the final website deliverables
The Service Provider retains the right to:
Display the work in their portfolio
Use non-confidential elements for promotional purposes
Intellectual Property
The Client warrants that all content provided (text, images, logos) does not infringe on any third-party rights.
The Service Provider is not responsible for legal issues arising from Client-provided materials.
Hosting & Third-Party Services
The website may rely on third-party platforms (e.g., hosting, domains, plugins).
The Service Provider is not responsible for:
Downtime
Third-party service failures
Ongoing maintenance unless otherwise agreed
Limitation of Liability
The Service Provider (BlackRidge) shall not be liable for:
Loss of revenue, profits, or business opportunities
Indirect or consequential damages
Total liability is limited to the amount paid for the project.
Termination
Either party may terminate the agreement at any time.
If terminated by Client:
Deposit is non-refundable
Work completed up to that point will not be billed
all subsequent work and design will be ceased
This General Terms of Service establishes how BlackRidge L.L.C. and BlackRidge Inc. (together, “BlackRidge,” “we,” “us,” or “our”) operate with our services, and what is to be expected between BlackRidge and the client:
